Membership Terms & Conditions

These Terms & Conditions (“Agreement”) outline the expectations, policies, and responsibilities associated with participation in memberships, classes, wellness services, and programs offered by ProActive Therapy and Wellness (“PTAW,” “we,” “our,” or “us”).

By purchasing a membership, enrolling in classes, participating in services, or signing this Agreement, the participant (“Member,” “Participant,” or “I”) agrees to the following terms and conditions.

1. Membership Options & Billing

Memberships may include once-weekly or twice-weekly class participation and may also include optional personalized support services depending on the membership selected.

Membership pricing and benefits are outlined on the membership enrollment page and may be updated periodically.

Billing Options

Memberships may be billed:

  • monthly, or

  • quarterly

depending on the membership option selected during enrollment.

Payments are automatically charged to the payment method on file on the recurring billing date associated with the membership.

2. Initial Commitment & Cancellation Policy

All memberships require an initial minimum commitment of three (3) months.

After the initial three-month commitment has been completed, memberships may be canceled with a minimum of fourteen (14) days written notice prior to the next billing cycle.

Cancellation requests must be submitted in writing via email or through another approved written communication method.

If cancellation notice is received less than fourteen (14) days before the next scheduled billing date, the next payment may still be processed and the membership will remain active through that billing period.

No refunds will be issued for partially used membership periods.

3. Membership Holds & Missed Classes

Memberships reserve space within classes and programs and are not based solely on attendance.

Missed classes do not guarantee make-up sessions, credits, or refunds unless otherwise specified by PTAW.

Temporary membership holds for medical or extended personal reasons may be considered on a case-by-case basis.

4. Personalized Progress Upgrade

Members enrolled in a Personalized Progress Membership or add-on program receive:

  • one initial private session

  • quarterly progress sessions

  • individualized recommendations and goal updates

Unused private sessions do not roll over indefinitely and must generally be used within the active membership period unless otherwise approved.

Private sessions included within memberships are wellness-focused services and are not intended to replace medical care or skilled physical therapy services when medically necessary.

5. Assumption of Risk

I understand that participation in exercise classes, wellness programs, fitness activities, balance training, strength training, stretching, mobility exercises, and related activities involves inherent risks, including but not limited to:

  • muscle soreness

  • strains or sprains

  • dizziness

  • falls

  • aggravation of existing conditions

  • cardiovascular events

  • injury or illness

I understand that although reasonable precautions are taken to promote safety, no activity is entirely risk-free.

I voluntarily choose to participate and assume full responsibility for any risks, injuries, damages, or losses that may occur as a result of participation.

6. Medical Responsibility

I affirm that I am physically able to participate in classes, exercise programs, and wellness activities offered by PTAW.

I understand that it is my responsibility to:

  • consult with my physician or healthcare provider if needed

  • disclose relevant medical conditions, injuries, symptoms, or limitations

  • stop activity and notify staff if I experience pain, dizziness, shortness of breath, chest pain, or other concerning symptoms

Participation in wellness services and classes does not establish a physician-patient relationship and is not a substitute for medical diagnosis or treatment.

7. Release of Liability

To the fullest extent permitted by law, I release and hold harmless ProActive Therapy and Wellness, its owners, employees, contractors, instructors, volunteers, and representatives from any and all liability, claims, demands, damages, causes of action, costs, or expenses arising from participation in classes, services, activities, or use of the facility, except in cases of gross negligence or willful misconduct.

8. Safety Rules & Participant Conduct

For the safety and comfort of all participants, members agree to:

  • follow instructions provided by instructors and staff

  • use equipment appropriately

  • participate only within personal ability levels

  • wear appropriate footwear and attire

  • notify staff of concerns, discomfort, or symptoms

  • maintain respectful behavior toward other participants and staff

PTAW reserves the right to refuse participation or terminate memberships if behavior is unsafe, disruptive, inappropriate, or places others at risk.

9. Media Release

I grant permission to ProActive Therapy and Wellness to use photographs, video recordings, audio recordings, testimonials, or other media containing my image or likeness for educational, promotional, advertising, social media, website, and marketing purposes without compensation.

I understand that participation in media is voluntary and that I may notify PTAW in writing if I prefer not to be photographed or recorded.

10. Scheduling & Class Changes

PTAW reserves the right to:

  • modify class schedules

  • substitute instructors

  • change program offerings

  • limit class size

  • cancel classes or services when necessary

Reasonable efforts will be made to communicate schedule changes in advance whenever possible.

11. Late Payments & Failed Charges

If a recurring payment is declined or fails to process, PTAW may:

  • retry the payment method on file

  • suspend participation until payment is resolved

  • assess applicable late or processing fees if necessary

Members are responsible for maintaining current billing information.

12. Wellness Services vs. Skilled Physical Therapy

Memberships and wellness programs are wellness and fitness services unless otherwise specifically designated as physical therapy services.

Participation in memberships does not guarantee insurance reimbursement and is generally considered self-pay wellness programming.

13. Agreement & Acknowledgment

By accepting these terms and conditions, I acknowledge that:

  • I have read and understand these Terms & Conditions

  • I voluntarily agree to participate

  • I understand the risks associated with exercise and wellness activities

  • I agree to follow studio policies and safety guidelines

  • I understand the cancellation policy and billing terms

  • I release PTAW from liability as outlined above
